Terms of Service

Please read these terms carefully before using Virtual Listing Lens. By creating an account or using our services, you agree to be bound by these Terms of Service. If you do not agree, do not use our platform.

1. About Virtual Listing Lens

Virtual Listing Lens ("VLL," "we," "our," or "us") is an AI-powered image enhancement platform for real estate professionals, headquartered in Minnesota, USA. Our services include virtual staging, room renovation, virtual twilight, sky replacement, object removal, lawn replacement, seasonal transformation, and other AI-generated image modifications (collectively, the "Services").

2. Acceptance of Terms

By accessing or using the Services, you agree to these Terms of Service ("Terms"), our Privacy Policy, and any additional terms we may provide. These Terms form a legally binding agreement between you and Virtual Listing Lens. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. AI-Generated Content — Important Disclosures

AI-generated images are for marketing purposes only. All images produced by Virtual Listing Lens are digitally created or modified using artificial intelligence. They do not represent the actual physical condition, furnishings, or features of any property.

4. Real Estate Professional Obligations

Disclosure is your responsibility. Real estate agents, brokers, and other licensed professionals are subject to professional duties and regulatory requirements that vary by state and MLS. Virtual Listing Lens does not assume responsibility for your compliance with these obligations.

NAR Code of Ethics

If you are a member of the National Association of Realtors® (NAR), you are subject to the NAR Code of Ethics. You are responsible for understanding and complying with NAR guidance on virtual staging, AI-generated content, and disclosure obligations.

MLS Rules

Multiple Listing Service (MLS) rules vary by region and may require specific disclosures when listing photos include virtually staged or AI-generated images. You are solely responsible for compliance with your local MLS rules.

State-Specific Disclosure Requirements

Several states, including but not limited to California, have enacted or proposed laws requiring disclosure when real estate listing images are AI-generated, digitally altered, or virtually staged. You are solely responsible for complying with all applicable state disclosure requirements, including California and any other state in which you operate.

Virtual Listing Lens makes no representation that use of our Services satisfies any specific state disclosure obligation. Requirements are subject to change; consult your broker, MLS, or a licensed real estate attorney for current guidance.

5. Account Registration

You must create an account to access the Services. You agree to provide accurate and complete information, keep your account credentials secure, and notify us promptly at virtuallistinglens@gmail.com if you suspect unauthorized access. You are responsible for all activity that occurs under your account.

You must be at least 18 years old to create an account. The Services are intended for business or professional use by real estate professionals.

6. Subscriptions, Credits, and Billing

Subscription Plans

VLL offers subscription plans that provide access to the Services on a recurring basis (monthly or annual). Subscription fees are billed in advance at the beginning of each billing period. Subscriptions automatically renew unless cancelled before the renewal date.

Credits

VLL also offers credits that can be purchased and used to access individual Services on a pay-per-use basis. Purchased credits do not expire during your active account period unless otherwise stated at the time of purchase.

Payment

All payments are processed by Stripe. By providing payment information, you authorize VLL (through Stripe) to charge your payment method for the applicable fees. You represent that you are authorized to use the payment method provided.

Refunds

Subscription fees are generally non-refundable. If you believe you were charged in error, contact us at virtuallistinglens@gmail.com within 14 days of the charge. Credits are non-refundable once used. We reserve the right to evaluate refund requests on a case-by-case basis.

Price Changes

We may change our pricing from time to time. We will provide at least 30 days' notice of price changes to subscription customers. Continued use of the Services after a price change constitutes your acceptance of the new pricing.

8. Intellectual Property

VLL's Property

Virtual Listing Lens and its licensors own all rights to the platform, AI models, software, algorithms, designs, trademarks, and other technology and content that make up the Services. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

Your Uploaded Images

You retain ownership of all images you upload to the Services ("User Content"). By uploading images, you grant VLL a non-exclusive, royalty-free, worldwide license to process and use your User Content solely to provide the Services to you.

Generated Output

VLL grants you a non-exclusive license to use the AI-generated output images ("Output") for real estate marketing purposes, subject to these Terms. You are responsible for ensuring your use of Output complies with all applicable laws and professional obligations, including disclosure requirements described in Section 4.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VLL DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VLL does not warrant that: (a) the Services will be uninterrupted or error-free; (b) AI-generated Output will meet any specific quality, accuracy, or compliance standard; or (c) use of the Services will satisfy any legal disclosure obligation.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VLL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

VLL's total cumulative liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees you paid to VLL in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless VLL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law, NAR rule, MLS rule, or professional obligation; or (e) any claim by a third party related to your use of AI-generated Output in real estate marketing.

13. Term and Termination

These Terms are effective from the date you first use the Services and continue until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, third parties, or VLL.

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, and 14) shall survive.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.

Before initiating formal proceedings, you agree to contact us at virtuallistinglens@gmail.com to attempt informal resolution of any dispute.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice by email or by posting a notice on our platform. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you must stop using the Services.

16. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VLL regarding the Services.

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum necessary, and the remaining provisions will remain in full force.

No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. VLL may assign its rights without restriction.
